AAA Video Submission

I hereby give AAA Northeast and its affiliates and subsidiaries (the “Company”) the absolute and irrevocable right, permission and license in perpetuity, without compensation to me, with respect to photographic, digital or video images, or audio recordings that have been or will be taken, produced, or created by me and that have been or will be provided to the Company in connection with a competition, promotion, or otherwise(collectively, the “Media”): (a) to copyright and trademark the Mediain the Company’s own name or any other name that the Company may choose; (b) to use, re-use, edit, re-edit, reproduce, broadcast, digitize, alter, distribute, publish, and re-publish the Media in whole or in part, individually or in conjunction with other images or media, in any present or future manner or medium and for any purpose whatsoever, including, but not limited to print, television, internet, illustration, promotion, videography, advertising, and trade and all social networking sites; and/or (c) to use my name or a pseudonym in connection therewith if the Company so chooses.

I hereby waive any right to inspect or approve any use of the Media. I understand that the Company reserves sole editorial discretion over the use of the Media. I agree and acknowledge that the Media and anything derived from it are owned solely by the Company. All value and goodwill arising from the Media or the Company’s use of the Media shall accrue solely to the Company and its assigns. Notwithstanding the foregoing, I understand that the Company is under no obligation to use the Media.

I warrant that the Media is original work created and owned solely by me, and does not infringe on any copyrights, trademarks, moral rights, rights of privacy/publicity or intellectual property rights of any person or entity. I further warrant that no other party has any right, title, claim or interest in the Media. To the extent other persons are depicted in the Media, I covenant and agree that I had the consent of the other persons(or their parent or legal guardian as applicable) to submit any all content, including, but not limited to, the Media.

I hereby voluntarily release and discharge the Company and its respective members, officers, directors, employees and agents and attorneys from any and all liability, claims and demands, known or unknown, of any nature or kind, including personal injury, arising out of, or in connection with:(i) the taking or other activity related to the creation of the Media or (ii) the use of the Media, including any and all claims based on invasion of privacy, defamation, false light, commercial appropriation or use of name, likeness, voice or picture, emotional distress, right of publicity or copyright, or any claims of which I may not be aware.

This authorization and release shall inure to the benefit of the legal representatives, licensees, and successors and assigns of the Company and shall be binding upon my heirs, successors, assigns and personal representatives, without regard to whether it is expressly acknowledged in any instrument or succession or assignment. This document represents the entire agreement between the parties and may only be modified by a writing signed by the parties hereto. I waive the right to trial by jury in any dispute arising under this Media Submission Waiver and Image Release. This Media Submission Waiver and Image Release shall be governed by and construed in accordance with the laws of the State of Rhode Island.

I am over the age of 18. I have read the foregoing and fully understand the contents thereof.
